Our advice includes capital structure management, the adoption of bespoke articles and shareholder agreements, employee share schemes, directors’ duties and solvency matters, including wrongful trading.

 

Our knowledge extends to reconstructions and re-organisations, share buy-backs, share purchase agreements and asset sales and the sale and purchase of businesses, where our priority is to identify and model a fair and equitable interaction, managing completion and post-completion settlement through suitable earn-outs, deferred consideration, lock-boxes and post-completion adjustments. Where necessary, we can negotiate appropriate disclosures set against a bespoke suite of warranties and indemnities, including tax warranties.

 

We can structure transactions where there are regulatory and cross-border matters to consider and we have a working knowledge of the laws of other common law and code-based jurisdictions. This enables us to identify initial risks before recommendations as to next steps and where necessary, making introductions to lawyers in other countries.
