We act for companies and investors on equity raises and investments. Our clients include highly entrepreneurial companies, high net worth investors and their offices and venture capital funds. We cover all facets of the investment process from conception to close and our advice includes the structuring and the execution of debt, equity and hybrid investment structures.

Our equity and venture capital investment acumen includes the preparation and negotiation of legal documentation, due diligence and procedural and compliance analysis; our work includes investment modelling, cap table development, scenario analysis the evaluation of founder and investor protections including pre-emption rights, anti-dilution provisions, minority protections, reserved matters, stakeholder representation and key personnel exit provisions (good, bad and intermediate leaver).

We typically work with our clients from first term sheet negotiations and through successive funding rounds, from seed to divestment. We adapt our approach depending on the size and complexity of the investment.
